miSTAT
Terms and Conditions
This is a contract. By using this software, you accept all the
terms and conditions of this agreement. The Software, referred
to as mi-STAT or miSTAT, is owned by Marisol International, LLC
and is protected by copyright law. Absent express written
amendments to this agreement,
your rights to use this software are as follows:
I. DISCLAIMER
Marisol International, LLC assumes no liability in connection
with the use of this software. Use of the software constitutes
acceptance of these terms. The software is provided as is and
without warranty of any kind. The person or company using the
software assumes the entire risk,
including results and performance of the software. Marisol
International, LLC disclaims all warranties, either express or
implied, including but not limited to warranties of
merchantability and fitness for a particular purpose. In no
event shall Marisol International, LLC be liable for any direct,
consequential, indirect, incidental, or special damages
whatsoever, including without limitation, damages for loss of
business profits, business interruption, computer viruses, loss
of business information, and the like, arising out of the use
of, or inability to use, this software even where
Marisol International, LLC has been advised of the possibility
of such damages.
II. General Terms regarding the installation and use of
miSTAT
A. Users authorized by Marisol International, LLC may:
1. Access this software using an internet web browser
(Microsoft Internet Explorer©
5.0 or better is recommended)
Microsoft Internet Explorer is a registered trademark of the
Microsoft Corporation
B. You may not:
1. Allow unauthorized users to access this software with or
without another user’s ID and password;
2. Sublicense, assign,
pledge or otherwise transfer all or any portion of this
Agreement, or all or any portion of the Software or the Related
Documentation without the prior written consent of Marisol
International, LLC. Customer agrees not to attempt to market
this system for gain;
3. Directly
or indirectly, copy all or any part of the Software or Related
Documentation. Customer shall not, directly or indirectly,
change, modify or rewrite the Software. Customer shall not
help, assist promote or otherwise encourage others to rewrite,
modify or change the Software.
Customer shall not reverse engineer, decompile, or disassemble
the Software;
4. Create any link, or deep link, to any web page related to
this software with the exception of the main login screen;
5. Share access, including but not limited to User ID and
Password information, or any other information about this
software with anyone other than Marisol International, LLC or
other authorized users within your organization;
6. Attempt to change or modify the information contained in the
software or database outside of your allowed permissions, based
on access granted by your User ID and Password.
III. Title
Title to the Software, data and information it contains, and any
and all copies of the Software and Related Documentation shall
remain at all times with Marisol International, LLC.
III. Other Software
Should miSTAT require the installation of software provided by
third parties, other restrictions governing the use and grant of
license may apply.
IV. Governing Law
This Agreement shall be governed by Missouri Law. Customer irrevocably consents to the exclusive jurisdiction of the State and Federal Courts located in Missouri in any and all actions between parties. Customer irrevocably consents to service of process by first class certified mail,
return receipt requested, postage prepaid, to its address noted above or such other address as is tendered to Marisol International, LLC by certified mail, return receipt requested.
IV. customer’s reliance
Customer acknowledges that it has read this Agreement, understands it, and agrees to be bound by its terms and conditions. Customer warrants and represents that it is not relying on any statements made by staff, officers, directors or representatives of Marisol International, LLC,
but that this Agreement contains the whole agreement between the parties and supersedes all previous agreement, either oral or in writing.
